LICENSE AGREEMENT

THIS AGREEMENT ("Agreement") is made this 22nd day of May, 2023, ("Effective Date") by and between "Licensor", and ("Licensee"), collectively referred to as the "Parties."

1. Grant of License

Licensor grants to Licensee an unrestricted, non-exclusive, worldwide license to use, sell, distribute, and modify the Licensor's products currently available in the Licensor's Gumroad store, subject to the terms and conditions of this Agreement.

2. Product Delivery

Licensor will provide Licensee with access to the licensed products via email in a single transfer or directly from the Licensor's Gumroad page using a personalized discount code.

3. New Products

Licensor grants to Licensee access to any new products posted on the Licensor's Gumroad page during the term of this Agreement. Licensor has no obligation to update the content on a regular basis.

4. Product Modifications and Resale

Licensee may modify the signature and photo of the licensed products and resell the products in their original or modified form. Licensor will not levy any additional charges on extra sales related to Licensor's name or products.

5. Support

Licensor will provide support for the licensed products as needed, reachable through Instagram, Gumroad store, and email.

6. Compatibility

The licensed products are designed to work with Procreate and iPad and are also compatible with Procreate Pocket.

7. Ownership

Licensor retains ownership of all original products available in the Gumroad store. This license grants Licensee rights to use and commercialize the licensed products but does not transfer ownership.

8. Term and Renewal

The term of this Agreement is two years from the Effective Date, automatically renewing for successive two-year periods unless either Party gives notice of its intention not to renew.

9. Pricing and Payment

The pricing for the licensed products is as detailed in the attached Exhibit A. The form of payment is negotiable and can be discussed further upon request.

If there are any questions or further clarifications needed regarding this Agreement, Licensee can contact the Licensor directly.

IN WITNESS WHEREOF, the Parties hereto have executed this Agreement as of the Effective Date first above written.
